Terms of Service
Effective Date: July 7, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern access to and use of the services, website, deliverables, and related communications provided by NorthFrame Motion Studio (“NorthFrame Motion Studio,” “we,” “us,” or “our”), a motion-studio business located at 2145 West 4th Avenue, Vancouver, BC V6K 1N7, Canada.
By engaging NorthFrame Motion Studio, requesting a quote, signing a proposal or statement of work, paying an invoice, or otherwise using our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must not use our services.
These Terms apply to all projects and services unless a separate written agreement signed by NorthFrame Motion Studio expressly states otherwise. In the event of a conflict, the signed written agreement or statement of work will prevail to the extent of the conflict.
2. Scope of Services
NorthFrame Motion Studio provides creative and production services, which may include, without limitation:
- 2D motion graphics
- Brand animation systems
- Explainer videos
- Social media motion content
- Title sequences and logo reveals
- Product visualization animations
- Kinetic typography
The exact scope, deliverables, timeline, revision limits, technical specifications, and pricing for each project will be set out in a proposal, estimate, statement of work, or other written agreement approved by both parties.
Any services, features, formats, versions, or additional deliverables not expressly included in the agreed scope are out of scope and may require a separate fee and revised timeline.
3. User Obligations and Responsibilities
You agree to provide timely cooperation and all materials reasonably necessary for NorthFrame Motion Studio to perform the services, including but not limited to:
- accurate project briefs, scripts, brand guidelines, logos, fonts, product information, and reference materials;
- all approvals, feedback, and revisions within the timeframes requested;
- confirmation that you have the right to use and provide all content, trademarks, music, images, footage, data, and other materials supplied to us;
- prompt payment of all fees and expenses when due; and
- compliance with applicable laws, regulations, and third-party rights.
You represent and warrant that any materials you provide do not infringe or violate any intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
You are responsible for reviewing all drafts and final deliverables carefully. Unless otherwise agreed in writing, approval of a deliverable constitutes acceptance of that deliverable.
4. Payment Terms and Conditions
Fees will be set out in the applicable proposal, estimate, or invoice. Unless otherwise stated in writing:
- a deposit may be required before work begins;
- all invoices are payable in Canadian dollars (CAD);
- payment is due within the period stated on the invoice, or if no period is stated, within 14 days of the invoice date;
- late payments may result in suspension of work, delayed delivery, or cancellation of the project;
- you are responsible for any applicable taxes, including GST/HST/PST, unless expressly included in the quoted amount;
- third-party costs, including stock assets, music licensing, voiceover, talent, software, or production expenses, may be billed separately unless expressly included in the scope.
NorthFrame Motion Studio may require milestone payments for larger projects. If a project is paused due to your delay, additional fees may apply to cover rescheduling, reallocation of resources, or remobilization.
Any amounts unpaid after the due date may accrue interest at the maximum rate permitted by applicable law, or if no maximum is specified, at 1.5% per month (18% per annum), whichever is lower.
5. Cancellation and Refund Policy
You may cancel a project by providing written notice to NorthFrame Motion Studio. Cancellation will be effective upon our receipt of the notice.
Unless otherwise agreed in writing:
- deposits are non-refundable to the extent work has been scheduled, commenced, or resources have been reserved;
- you must pay for all work completed, work in progress, approved deliverables, and non-cancellable third-party costs incurred up to the cancellation date;
- if you cancel after work has begun, any deposit will be applied against amounts owed, and you remain responsible for any outstanding balance;
- refunds, if any, are issued only at the sole discretion of NorthFrame Motion Studio or where required by applicable law.
If NorthFrame Motion Studio cancels a project for reasons other than your breach, we will refund any unearned portion of fees paid in advance for work not performed, less any non-recoverable expenses already incurred.
Because our services are custom creative services, completed work is generally non-refundable once delivered or approved, except where required by law.
6. Liability Limitations
To the fullest extent permitted by applicable law, NorthFrame Motion Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of goodwill, business interruption, or loss of data, arising out of or related to the services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by applicable law, NorthFrame Motion Studio’s total aggregate liability arising out of or relating to the services, deliverables, or these Terms shall not exceed the total fees actually paid by you to NorthFrame Motion Studio for the specific project giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $1,000, whichever is greater, except where such limitation is prohibited by law.
NorthFrame Motion Studio does not guarantee that deliverables will achieve any particular commercial, marketing, audience, platform, or performance outcome.
Nothing in these Terms limits liability that cannot be limited under applicable Canadian law, including liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded.
7. Intellectual Property Rights
Unless otherwise agreed in writing, NorthFrame Motion Studio retains all right, title, and interest in and to our pre-existing materials, tools, workflows, templates, software, methods, know-how, and general creative techniques used or developed in connection with the services.
Upon full payment of all amounts due, and subject to any third-party rights and any written agreement to the contrary, NorthFrame Motion Studio grants you a non-exclusive, worldwide, perpetual license to use the final approved deliverables for the purposes specified in the project scope.
This license does not include:
- project files, source files, working files, or editable assets unless expressly included in writing;
- third-party licensed materials, which remain subject to their own license terms;
- unapproved drafts, concepts, or unused options, unless otherwise agreed.
You acknowledge that NorthFrame Motion Studio may use general skills, ideas, and techniques developed during the project in future work, provided that we do not disclose your confidential information or infringe your rights.
Unless you notify us in writing otherwise before project completion, NorthFrame Motion Studio may display non-confidential portions of the work in our portfolio, website, social media, reels, award submissions, and promotional materials for self-promotional purposes, subject to any confidentiality obligations or written restrictions agreed by the parties.
You grant NorthFrame Motion Studio a non-exclusive license to use your supplied materials solely to perform the services.
8. Data Protection and Privacy
NorthFrame Motion Studio collects, uses, and discloses personal information only as necessary to provide our services, manage client relationships, process payments, communicate about projects, and comply with legal obligations.
We take reasonable administrative, technical, and physical safeguards to protect personal information against unauthorized access, disclosure, alteration, or destruction. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
Where applicable, NorthFrame Motion Studio will handle personal information in accordance with Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws.
You acknowledge that project work may involve the transfer of files and communications through third-party services, including cloud storage, email, review platforms, and collaboration tools. Your use of such third-party services may be subject to their own privacy policies and terms.
If you provide personal information of any third party to NorthFrame Motion Studio, you represent that you have the authority and, where required, the consent to do so.
9. Force Majeure
NorthFrame Motion Studio shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, earthquake, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, power outages, internet failures, equipment failures, government actions, or failure of third-party vendors or platforms.
If a force majeure event occurs, the affected obligations will be suspended for the duration of the event. We will use reasonable efforts to resume performance as soon as practicable.
10. Changes to Terms
NorthFrame Motion Studio may update or modify these Terms from time to time. The updated Terms will be effective upon posting or upon notice to you, as applicable.
Changes will apply prospectively unless otherwise required by law or expressly agreed in writing. Your continued use of our services after the effective date of updated Terms constitutes acceptance of the revised Terms.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the services, or the deliverables shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Vancouver, British Columbia shall have exclusive jurisdiction over any dispute arising from or relating to these Terms, the services, or the deliverables, subject to any mandatory consumer protection or other non-waivable rights under applicable law.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions remain in full force and effect.
The failure of NorthFrame Motion Studio to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision unless acknowledged in writing by NorthFrame Motion Studio.
